Terms of Service – HappyCharge Service

Thank you for using our products and services (“Services”). The Services are provided by Skycom Satellite Systems Pte Ltd (“Skycom”) located 56 Kallang Pudding Road #09-02 HH@Kallang, Singapore 349328

By using our Services, you are agreeing to these terms. Please read them carefully.

Using our Services

You must follow any policies made available to you within the Services.

1.       Do not misuse our Services

2.       Do not interfere with our Services or try to gain access to them using a method other than the interface and the instruction that we provide.

3.       You may use our Services only as permitted by law, including applicable export and control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

4.       In connection with your use of the Services, we may send you service announcement, administrative messages and other information. You may opt-out of some of those communications.

Your HappyCharge Account

You need a HappyCharge Account to use some of our Services. You may create your own HappyCharge Account, or your HappyCharge Account may be assigned to you by an administrator, such as your employer or property manager. If you are using a HappyCharge Account assigned to you by an administrator, he/she may be able to access or disable your account. If you learn of any unauthorized use of your password or account, contact us as soon as possible.

Privacy and Copyright Protection

Skycom’s privacy policy explains how we treat your data and protect your privacy when you use our Services. By using our Services, you agree that Skycom can use such data per our privacy policies. We respond to notices of alleged copyright infringement and terminate accounts of repeated infringers according to the process set out in the law of Singapore.

Modifying and Terminating our Services

1.       We are constantly changing and improving our Services, including adding or removing functionalities or features and suspending or stopping Service altogether.

2.       You can stop using our Services at any time while Skycom may also stop providing Services to you or add or create new limits to our Services at any time.

3.       We believe that you own your data, and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to remove information from that Service.

Warranties and Disclaimers

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them; however, there are certain things that we do not promise about our Services. Other than as expressly set out in these terms or additional terms, Skycom does not make any specific promises about the Services. For example, we do not make any commitments about the content within the Services, the specific function of the Services or their reliability, availability or ability to meet your needs. We provide the Services “as is.” Some jurisdiction provides for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties to all EV cars that use HappyCharge services.

Liability for our Services

1.       Where permitted by law, Skycom will not be responsible for lost profits, revenues or data, financial losses either direct or indirect, special, consequential, exemplary, or punitive damages.

 

2.       To the extent permitted by law, Skycom’s total liability for any loss, damages or claims, including indemnification (whether through one or multiple claims), arising under or in Singapore connection with this Agreement, including for any implied warranties whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed and is limited to the amount that you paid us to use the Services.

  1. The service do not cover any damages, defects or other problems encountered in the use of the Products (e.g. to EV cars) as arise out of faulty, careless, or improper treatment, errors, faulty, inexpert usage and/or misuse and/or unauthorised usage, or on the part of “User”, intended users or third party users, improper or defective environmental circumstances, a failure caused by a product for which “Skycom” is not responsible, or out of any other causes that are not attributable to the “Contractor” (including, without limitation, those problems which arise from the user’s or any third parties fault, fraud, negligence, wilful misconduct or non-compliance with any portion of this Agreement) which shall be all solely for user’s risk and account.

 

4.       Skycom will not be liable for any consequential loss and/or special damages caused by flood, thunder/lightning or any act of God.

 

5.       In all cases, Skycom will not be liable for any loss or damage that is not reasonably foreseeable.

Business uses of our Service

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Skycom and its affiliates, officers, agents and employees from any claim, action or proceeding arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, judgements, litigation costs and legal fees.

About these Terms

1.       We may modify these terms or any additional terms that apply to the Services, for example, to reflect changes to the law or changes to our Services. EV users are required to accept the T&Cs in the HappyCharge app whenever changes are updated. You should read the terms regularly; we will post notice of modifications to these terms on this page. We will also post notices of modified additional terms in the applicable Service. Changes will not apply retrospectively and will become effective no earlier than fourteen days after they are posted. However, changes addressing new function for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.

2.       If there is any inconsistency between these terms and the additional terms, the additional terms will prevail to the extent of the inconsistency.

3.       These terms govern the relationship between Skycom and you. They do not create any third-party beneficiary rights.

4.       If you do not comply with these terms and we do not take action immediately, this does not mean that we are giving up any rights that we may have (such as taking action in the future).

5.       If it turns out that a particular term is not enforceable, this will not invalidate any other terms.

Governing Law and Jurisdiction

These terms and condition are governed by and constructed in accordance with the laws of the Singapore. You agree to submit to the non-exclusive jurisdiction of the courts of Singapore.

Terms and Conditions of HappyCharge

1.       The charging system is provided by Skycom for electric vehicles (“EV”) of HappyCharge members in Singapore.

2.       Users undertake to comply fully with the HappyCharge instructions in the operation of the charging system.

3.       Users are solely responsible for ensuring their EV are in a good and safe condition and suitable for use with the charging system,

4.       Users shall indemnify and hold harmless Skycom and the owner of the chargers from and against and all claims, demands, suits, actions or liabilities for damages to property or injury or death of any person arising out of improper or unreasonable use of the charging system.

5.       Only EV can be plugged into the charger.

Privacy Policy

Skycom respects your privacy and commits to comply with the data protection principles and the requirement of Singapore law. In case of any inconsistency or conflict between the English version and version of other languages, the English version shall prevail.

Information Collection, User, and Sharing

We shall occasionally collect personal data from you and such data will be processed for the specific purpose given at the time or for any purpose provided for in this policy. Such purposes may include:

1.       Processing of your complaints, enquiries, or feedback.

2.       Identification and verification of you as a user.

3.       Provision of goods, services and/or activities.

4.       Understanding and analysing the statistics on the usage of the app.

5.       Purpose relating thereto.

The provision of personal data or any information is voluntary. We might be unable to process your request if you do not provide us with complete information.

 

 

Data Retention

We will keep your data for as long as necessary to fulfil the purpose for which the data was collected. Personal data which is no longer required will be destroyed.

Disclosure and Transfer of Personal Data

Personal data held by us will be kept confidential but we may provide or transfer the personal data to:

1.       Any company within our group.

2.       External parties including but not limited to any agent, contractor or third-party service provider which provides administrative, telecommunication, computer or other services to us in connection with the operation of our business.

3.       Any person to whom our group is under an obligation to disclose to under the requirement of any law binding on our group or for the purposes of any guideline issued by regulatory or other authorities with which our group is expected to comply.

We may transfer your data to the above parties outside Singapore for the purposes mentioned above. This is only, when necessary, we will try to explore all available options before transferring the data.

Access to and Correction of Personal Data

Pursuant to the Ordinance, you have the right to request access to and correction of your personal data held by us. Such enquiries or request should be addressed to:

Security of Personal Data

We will take appropriate measures to ensure that your data is properly protected; however, there is no security guarantee for any data transmission over the internet. You should transmit all such data at your own risk. Once we receive your transmission, only our authorised employees or contractors could access your data.
